Notable Technologies Inc. of Bellevue, Wash., has partnered with the National Dispatch Center Inc. to develop and deliver information services for paging, Cellular Digital Packet Data and personal communications services networks. Notable will serve as NDC’s preferred provider of personal information services to be marketed to NDC’s wireless carrier customer base, which includes more than 1,000 paging and other wireless carriers nationwide. In turn, San Diego-based NDC will be Notable’s marketing partner of choice for bringing future applications to paging, CDPD and PCS wireless carriers.

Shared Technologies Inc. announced that it has retained S.G. Warburg Securities, a global investment banking firm, as a financial adviser while STI explores various strategic options. STI is a national telecommunications company servicing clients in more than 125 commercial office buildings, hotels and convention centers in 17 metropolitan areas across the nation. STI’s majority-owned cellular subsidiary, Shared Technologies Cellular, provides cellular phone rentals and cellular equipment sales and activations through a nationwide distribution network.

Mobile Telecommunication Technologies Corp. said it has completed the exchange of approximately 20 percent of Destineer Corp.’s common stock that was not previously owned by Mtel for an aggregate of slightly more than 4 million shares of Mtel common stock. Destineer, Mtel’s subsidiary, is now wholly owned by Mtel. The transaction was accomplished pursuant to a stock exchange agreement under which the former Destineer minority stockholders received Mtel common stock in exchange for their Destineer common stock. Those shareholders consist of Microsoft Corp., William H. Gates, Paul G. Allen, Kleiner Perkins Caufield & Byers IV L.P., KPCB VI Founders Fund L.P., Integral Capital Partners L.P. and Integral Capital Partners International C.V.

Moody Investor Service’s upgraded the rating for PriCellular Wireless Corp.’s $120 million (accreted value) senior subordinated discount notes due 2001 from Caa to B3. At the same time, Moody’s assigned a B3 rating to its proposed $120 million (net proceeds) senior subordinated discount notes due 2003. After several pending acquisitions close, PriCellular will own cellular systems, covering a total population of approximately 3.2 million clustered in the upper Midwest, Ohio, Alabama and suburban New York City and will hold a 44 percent interest in a joint venture with SBC Communications Inc.

Lightbridge Inc. announced it will integrate XcelleNet Inc.’s RemoteWare software into its wireless point-of-sale products, SAMS, Iris and POPS. Lightbridge said the integration will increase communications capabilities with wireless carriers’ distribution channels, enabling carriers and their sales representatives, agents, dealers and retailers to automate labor intensive operations in processing new subscriber applications. More than 900 organizations worldwide have licensed RemoteWare for approximately 285,000 remote or mobile field personnel, branch operations, customers, suppliers, channels-of-distribution or other corporate constituents.
