NOKIA MERGES WITH NOKITERRA

HELSINKI-Nokia Corp. and Nokiterra Oy merged, giving Nokia approximately 64.3 million of its shares, corresponding to approximately 5.3 percent of the total share capital and voting rights of Nokia, said the company.

The merger does not affect Nokia Corp.’s key figures or voting rights, as these shares have already been eliminated in the group’s profit and loss accounts and other statements, Nokia said.

Nokia also announced 114,508 of its shares were subscribed for after the previous increase in the share capital was registered on July 23. The shares were subscribed for with the warrants attached to the bond loans issued to the key personnel of Nokia.

The corresponding increase in the share capital, about $29,000, was registered in the Finnish Trade Register on Sept. 9. As a result of the increase, the share capital of Nokia now is $307.1 million and the total number of shares is approximately 1.2 million, the company said.
